1. ABOUT THESE TERMS
Welcome to MoniLens.
These Terms of Use ("Terms") govern your access to and use of the MoniLens mobile application, website, software, products and related services (collectively, the "Service").
MoniLens is a financial-management technology platform designed to help individuals and businesses organise, record, understand and manage financial information.
Depending on the features available to you, MoniLens may provide:
Automatic transaction tracking from relevant financial SMS alerts;
Transaction categorisation;
Income and expense tracking;
Financial summaries and insights;
Budgeting and financial-management tools;
Bank-statement and document imports;
PDF, CSV and Excel processing;
Financial record keeping;
Invoice and business-record features;
Email-based financial transaction processing;
Authorised financial-account or Open Banking integrations;
Automated and AI-assisted financial analysis;
Tax-related organisation and calculation tools;
Business financial-management features; and
Other services and features introduced from time to time.
MoniLens is a technology platform. Unless expressly stated otherwise and appropriately authorised, MoniLens is not a bank, deposit-taking institution, lender, investment adviser, insurance provider, payment institution, accounting firm, tax adviser or law firm.
These Terms create a legally binding agreement between you and the entity that operates MoniLens ("MoniLens", "we", "us" or "our").
By creating an account, accessing or using the Service, you agree to these Terms and the MoniLens Privacy Policy.
If you do not agree to these Terms, you must not use the Service.
2. ELIGIBILITY
You may use MoniLens only if you are legally capable of entering into a binding agreement under the laws applicable to you.
If you use MoniLens on behalf of a company, business, partnership or other organisation, you confirm that you have authority to accept these Terms on its behalf.
MoniLens is intended for users who are legally permitted to use the Service in their jurisdiction.
3. DEFINITIONS
For purposes of these Terms:
"Account" means the account you create to access MoniLens.
"Content" means information, documents, records, transactions, invoices, statements and other material submitted to MoniLens by you.
"Financial Information" means information relating to income, expenses, transactions, balances, financial accounts, invoices, payments, debts, investments or other financial activity.
"Third-Party Service" means a service, platform, bank, financial institution, payment provider, email provider, API, software provider or other service operated by someone other than MoniLens.
"User", "you" or "your" means the person or organisation using MoniLens.
4. YOUR MONILENS ACCOUNT
Certain features require you to create an Account.
You agree to:
Provide accurate information;
Keep your information reasonably up to date;
Maintain the confidentiality of your login credentials;
Protect your device and Account;
Not knowingly allow unauthorised persons to use your Account; and
Notify us promptly if you believe your Account has been compromised.
You are responsible for activity occurring through your Account to the extent permitted by applicable law.
We may take reasonable steps to verify your identity where necessary for security, account recovery, fraud prevention or compliance purposes.
5. MONILENS SMS TRANSACTION TRACKING
MoniLens may provide automatic transaction tracking using relevant financial SMS alerts.
If you choose to use this feature, MoniLens may request READ_SMS permission from your Android device.
Where permission is granted, MoniLens may process relevant financial transaction alerts to identify information such as:
Transaction amount;
Transaction date and time;
Transaction description or narration;
Merchant or counterparty;
Financial institution;
Transaction type; and
Other information reasonably necessary to create a transaction record.
SMS access is used for MoniLens' financial-management functionality.
MoniLens does not require SMS access to initiate bank transfers or payments.
MoniLens does not require your:
Bank password;
ATM PIN;
Card PIN; or
OTP
for its SMS transaction-tracking functionality.
You may decline or revoke SMS permission. If you do so, automatic SMS transaction tracking will not function, although other MoniLens features may remain available.

6. EMAIL AND FINANCIAL EMAIL INTEGRATIONS
Where available, MoniLens may allow you to connect an email account or authorise access to financial transaction emails.
If you enable such a feature, MoniLens may process relevant financial information contained in authorised emails to provide transaction-management functionality.
You remain responsible for reviewing the permissions and scope of any email integration before enabling it.
You may disconnect an authorised email integration where the feature permits.
MoniLens does not require access to unrelated personal communications for its financial-management functionality.
7. BANK AND OPEN BANKING INTEGRATIONS
In the future, MoniLens may offer integrations with banks, financial institutions, Open Banking providers, account-information services or other financial-data providers.
Where you choose to connect a financial account:
You authorise the relevant connection or provider;
MoniLens may receive information made available through that connection;
The availability and accuracy of that information may depend on the relevant financial institution or provider;
Connections may stop working or become unavailable; and
Additional terms or disclosures may apply to the relevant integration.
MoniLens does not guarantee that any particular bank, financial institution or Open Banking provider will remain supported.
A bank or third-party provider may modify, suspend or discontinue its API or service without MoniLens being able to prevent it.
No custody of funds
Unless expressly stated otherwise and provided under the appropriate legal and regulatory framework:
MoniLens does not hold, receive, custody or control your money or other financial assets.
Viewing information about a financial account through MoniLens does not transfer ownership or control of that account to MoniLens.
Transaction initiation
MoniLens' current functionality does not authorise or initiate bank transfers or payments merely because you connect a financial account.
If MoniLens introduces transaction initiation, payment or other regulated financial functionality in the future, additional terms, disclosures, permissions and regulatory requirements may apply.
8. IMPORTED DOCUMENTS AND FINANCIAL RECORDS
MoniLens may allow you to upload or import:
PDF bank statements;
CSV files;
Excel spreadsheets;
Receipts;
Invoices;
Financial records;
Business records; and
Other supported documents.
MoniLens may process these documents to extract, organise, categorise or summarise information.
Document processing may contain errors.
For example, information may be:
Missing;
Duplicated;
Misread;
Incorrectly categorised;
Incomplete; or
Incorrectly extracted.
You remain responsible for reviewing important information extracted from documents.
9. YOUR CONTENT AND FINANCIAL RECORDS
You retain ownership of Content that you provide to MoniLens, subject to the rights required for us to operate the Service.
You grant MoniLens a limited, non-exclusive right to host, process, store, reproduce and use your Content only as reasonably necessary to:
Provide the Service;
Process your transactions;
Generate requested reports and insights;
Provide customer support;
Maintain and secure the Service;
Prevent fraud and abuse;
Comply with legal obligations; and
Perform other activities permitted by our Privacy Policy and applicable law.
This licence does not transfer ownership of your personal financial records to MoniLens.
10. BUSINESS USERS AND THIRD-PARTY INFORMATION
If you use MoniLens for a business, you may upload information relating to customers, employees, suppliers, contractors or other persons.
You are responsible for ensuring that:
You have the necessary authority to provide that information;
Your use of the information is lawful;
You provide any notices or obtain any consent required by applicable law; and
You do not knowingly use MoniLens to process information unlawfully.
MoniLens is not responsible for a business user's failure to comply with its own privacy, employment, tax, accounting or regulatory obligations.
11. AUTOMATED CATEGORISATION
MoniLens may automatically categorise transactions using rules, algorithms, merchant information, transaction descriptions and other available information.
Automated categorisation may be inaccurate.
You acknowledge that MoniLens may:
Assign the wrong category;
Misidentify a merchant;
Misinterpret a transaction;
Fail to recognise a transaction; or
Duplicate a transaction.
Where the Service permits, you may review and correct categorisations.
You remain responsible for reviewing important financial records.
12. AI AND AUTOMATED FEATURES
MoniLens may use artificial intelligence, machine learning, automated rules or other computational technologies to provide features such as:
Transaction categorisation;
Merchant identification;
Financial summaries;
Spending analysis;
Cash-flow analysis;
Document extraction;
Invoice processing;
Business analysis;
Financial insights;
Tax-related organisation; and
Other automated functionality.
AI-generated or automated outputs may be incomplete, inaccurate, outdated or unsuitable for your particular circumstances.
You should independently verify important information before relying on it.
MoniLens does not guarantee that an automated or AI-generated output is:
Accurate;
Complete;
Current;
Suitable for a particular financial decision;
Tax compliant;
Accounting compliant;
Legally compliant; or
Appropriate for your individual or business circumstances.
Where MoniLens uses third-party AI or machine-learning services, the processing of information may also be subject to the applicable third-party terms and privacy requirements.
13. FINANCIAL INSIGHTS
MoniLens may provide insights such as:
Spending trends;
Income trends;
Expense comparisons;
Budget observations;
Cash-flow summaries;
Transaction patterns; and
Other financial observations.
These insights are intended to help you organise and understand your financial information.
They are not guarantees, predictions or professional advice.
A MoniLens insight should not be treated as a statement that a particular financial decision is safe, profitable or appropriate.
14. NO FINANCIAL, INVESTMENT, TAX OR LEGAL ADVICE
MoniLens is a technology platform for financial organisation and information management.
Unless expressly stated otherwise and appropriately authorised, MoniLens does not provide:
Personalised financial advice;
Investment advice;
Securities advice;
Lending advice;
Credit advice;
Insurance advice;
Tax advice;
Accounting advice;
Audit services;
Legal advice; or
Professional financial planning.
You should consult an appropriately qualified professional before making significant financial, investment, tax, accounting or legal decisions.
15. TAX AND COMPLIANCE FEATURES
MoniLens may in the future provide features that help users organise information for tax, accounting or regulatory purposes.
Such features are intended to assist with organisation and preparation.
They do not guarantee:
Tax compliance;
Correct tax treatment;
Correct classification;
Acceptance by a tax authority;
Correct tax liability;
Correct filing; or
Compliance with every applicable tax rule.
You remain responsible for reviewing information and meeting your tax and regulatory obligations.
16. NO GUARANTEE OF FINANCIAL OUTCOMES
Using MoniLens does not guarantee that you will:
Increase your income;
Reduce your expenses;
Increase your savings;
Improve your investment returns;
Reduce your debt;
Improve your credit score;
Obtain financing; or
Achieve any particular financial result.
Your financial outcomes depend on your circumstances and decisions.
17. THIRD-PARTY SERVICES
MoniLens may rely on Third-Party Services, including:
Banks;
Financial institutions;
Open Banking providers;
Payment providers;
Mobile network operators;
Email providers;
Cloud infrastructure providers;
Authentication providers;
Analytics providers;
Security providers;
Document-processing providers;
AI providers; and
Other technology providers.
Third-Party Services may experience:
Outages;
Delays;
Errors;
Security incidents;
Changes in functionality;
Changes in pricing; or
Discontinuation.
MoniLens does not control the operation of Third-Party Services and, to the maximum extent permitted by law, is not responsible for their independent acts, omissions, availability or performance.
18. ACCURACY OF FINANCIAL INFORMATION
MoniLens may depend on information supplied by:
You;
Banks;
Financial institutions;
Payment providers;
Mobile networks;
Email providers;
Open Banking providers;
Uploaded documents; and
Other third parties.
We do not guarantee the accuracy, completeness, availability or timeliness of information supplied by those sources.
Transactions may therefore be:
Missing;
Delayed;
Duplicated;
Incorrectly described;
Incorrectly categorised; or
Otherwise inaccurate.
MoniLens should not be treated as a replacement for your official bank statements or other authoritative financial records.
19. USER RESPONSIBILITIES
You are responsible for:
Reviewing important information;
Maintaining appropriate financial records;
Keeping your device secure;
Keeping your account credentials confidential;
Providing accurate information;
Reviewing automated categorisations;
Checking important financial calculations;
Maintaining appropriate backups;
Using supported features lawfully; and
Making your own financial decisions.
You must not provide MoniLens with confidential banking credentials such as bank passwords, PINs or OTPs unless a future MoniLens feature expressly requires such information through an approved and secure process.
20. ACCEPTABLE USE
You must not use MoniLens to:
Break applicable laws;
Commit fraud;
Impersonate another person;
Access financial information without authorisation;
Infringe another person's privacy;
Infringe intellectual property rights;
Upload malicious code;
Attack or interfere with MoniLens systems;
Attempt unauthorised access;
Circumvent security measures;
Abuse APIs or technical infrastructure;
Scrape or systematically extract MoniLens data;
Reverse engineer the Service except where expressly permitted by law;
Use the Service to develop a competing product through unauthorised extraction;
Upload unlawful content; or
Harm MoniLens, its users or third parties.
21. INTELLECTUAL PROPERTY
MoniLens and its licensors own or control the intellectual property associated with the Service, including:
Software;
Source code;
Algorithms;
Categorisation systems;
Merchant dictionaries;
Databases;
User interfaces;
Designs;
Graphics;
Logos;
Trademarks;
Documentation;
Proprietary models;
Reports and templates; and
Other technology and materials.
Except as expressly permitted by these Terms, you may not:
Copy;
Modify;
Reproduce;
Distribute;
Sell;
Lease;
Sublicense;
Reverse engineer;
Decompile;
Create derivative works from; or
Exploit
any part of MoniLens.
Nothing in these Terms transfers MoniLens' intellectual property to you.
22. AGGREGATED AND DE-IDENTIFIED INFORMATION
Subject to our Privacy Policy and applicable law, MoniLens may create information that has been aggregated or de-identified so that it does not reasonably identify an individual user.
We may use such information for legitimate business purposes, including:
Improving the Service;
Measuring product performance;
Understanding general usage patterns;
Improving categorisation systems;
Improving automated models;
Developing new features;
Security and fraud prevention;
Product research; and
Business analytics.
MoniLens will not use this provision to circumvent restrictions applicable to personal or sensitive user data.
23. SUBSCRIPTIONS AND PAID SERVICES
MoniLens may offer free and paid plans.
Different plans may have different:
Features;
Usage limits;
Storage limits;
Transaction limits;
Integration limits;
Support levels; and
Prices.
Prices and applicable charges will be presented before purchase.
Unless otherwise stated:
Subscription charges are payable in advance;
Subscriptions may renew automatically where authorised;
You may cancel future renewals through the applicable payment platform; and
Cancellation does not automatically entitle you to a refund for a period already paid for, except where required by applicable law or expressly provided by MoniLens.
24. PRICING CHANGES
We may change subscription prices or introduce new charges.
Where required by applicable law, we will provide reasonable notice before a material price increase takes effect.
If you do not agree to a price change, you may cancel your subscription before the new price applies.
25. FREE TRIALS AND PROMOTIONS
MoniLens may offer free trials, discounts or promotional plans.
Promotions may be subject to additional conditions.
Unless otherwise stated:
Promotional offers may be limited to eligible users;
We may withdraw or modify promotions;
A user may not abuse promotional offers by creating multiple accounts; and
A paid subscription may begin after a trial where the applicable terms clearly state this.
26. SERVICE AVAILABILITY
We aim to provide a reliable Service but do not guarantee that MoniLens will always be:
Available;
Uninterrupted;
Error-free;
Secure;
Compatible with every device;
Compatible with every financial institution;
Able to capture every transaction; or
Able to process every document correctly.
Availability may be affected by:
Internet connectivity;
Mobile networks;
Banks;
Financial institutions;
Third-party providers;
Android updates;
Maintenance;
Security incidents;
Power failures;
Regulatory requirements; or
Other circumstances outside our reasonable control.
27. CHANGES TO THE SERVICE
MoniLens is an evolving technology product.
We may:
Add features;
Remove features;
Modify functionality;
Change technical requirements;
Introduce new plans;
Modify integrations;
Discontinue Third-Party Services;
Change pricing; or
Restrict features in particular jurisdictions.
Where a material change substantially affects your rights, we may provide reasonable notice where required by applicable law.
28. BETA AND EXPERIMENTAL FEATURES
MoniLens may provide beta, preview or experimental features.
Such features may:
Be incomplete;
Contain errors;
Change without notice;
Produce inaccurate results;
Have limited availability; or
Be discontinued.
Beta or experimental features should not be relied upon for critical financial, tax, accounting or business decisions.
29. SECURITY
We use reasonable technical and organisational measures designed to protect the Service and user information.
However, no digital system is completely secure.
You acknowledge that security incidents can occur despite reasonable safeguards.
You are responsible for protecting:
Your device;
Your login credentials;
Your email account;
Your connected financial accounts; and
Other credentials under your control.
30. PRIVACY
Your use of MoniLens is also governed by the MoniLens Privacy Policy.
The Privacy Policy explains:
What information we collect;
How we use it;
How we share it;
How we protect it;
How long we retain it;
Your data protection rights; and
How you can request deletion.
The Privacy Policy forms part of the agreement between you and MoniLens.
Where a matter concerns personal-data processing, the Privacy Policy and applicable data protection law govern that matter.
31. ACCOUNT DELETION
You may request deletion of your MoniLens account.
In the App
Settings → Delete Account

Where an account is deleted, MoniLens will delete associated account data within a reasonable period, subject to information that we are legally required or permitted to retain.
Examples may include information required for:
Legal compliance;
Fraud prevention;
Security;
Dispute resolution;
Enforcement of legal rights; or
Other lawful purposes.
Our Privacy Policy explains applicable retention practices.
32. SUSPENSION AND TERMINATION
We may suspend or terminate your access to MoniLens where reasonably necessary if:
You materially breach these Terms;
You use MoniLens unlawfully;
Your conduct creates a security risk;
Your Account is involved in fraud or abuse;
You attempt to compromise the Service;
You provide materially false information;
We are required to do so by law; or
Continued provision of the Service becomes unlawful or impractical.
Where reasonably possible, we may provide notice before termination.
We may act immediately where necessary to protect users, systems, data or the Service.
33. EFFECT OF TERMINATION
When your Account is terminated or deleted:
Your right to use MoniLens ends;
You may lose access to information stored in the Service;
Paid subscriptions may be handled according to the applicable subscription terms; and
Data will be handled according to the Privacy Policy and applicable law.
You are responsible for exporting or retaining records you need before deleting your Account where MoniLens provides an export facility.
34. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, MoniLens is provided on an "as available" and "as is" basis.
We do not guarantee that:
The Service will always operate without interruption;
Information will always be accurate;
Transactions will always be captured;
Transactions will always be correctly categorised;
AI or automated outputs will always be accurate;
Uploaded documents will always be processed correctly;
Financial insights will always be suitable;
Third-party integrations will remain available;
The Service will work on every device; or
The Service will satisfy every user's requirements.
To the maximum extent permitted by applicable law, we disclaim warranties not expressly provided in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Nothing in these Terms excludes any warranty, right or remedy that cannot legally be excluded.
35. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, MoniLens and its owners, shareholders, directors, officers, employees, contractors, affiliates, licensors and service providers shall not be liable for indirect, incidental, special, consequential, exemplary or punitive losses arising from your use of, or inability to use, the Service.
This includes losses arising from:
Incorrect transaction categorisation;
Missing or duplicated transactions;
Incorrect financial insights;
Incorrect AI or automated outputs;
Errors in uploaded documents;
Reliance on MoniLens information;
Bank or financial institution failures;
Open Banking failures;
Mobile network failures;
Internet failures;
Third-party service failures;
Loss or compromise of a device;
Unauthorised access caused by compromised credentials;
Temporary Service interruption;
Discontinued features;
Loss of expected savings;
Loss of profits;
Loss of business opportunities; or
Events beyond our reasonable control.
Where applicable law does not permit the exclusion of a particular liability, that liability will remain unaffected.
Subject to applicable law, the total aggregate liability of MoniLens arising from your use of the Service shall not exceed the greater of:
(a) the total fees actually paid by you to MoniLens for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) ₦10,000 (Ten Thousand Naira),
except where applicable law prohibits such limitation.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
36. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless MoniLens, its owners, shareholders, directors, officers, employees, contractors, affiliates, licensors and service providers from claims, losses, liabilities, damages, costs and reasonable expenses arising from:
Your breach of these Terms;
Your unlawful use of the Service;
Your fraud or intentional misconduct;
Your violation of another person's rights;
Your unauthorised use of another person's information;
Content you submit without appropriate authority;
Your violation of applicable law; or
Your misuse of the Service.
This indemnity does not apply to the extent a claim results from liability that cannot lawfully be transferred to you.
37. EVENTS BEYOND OUR REASONABLE CONTROL
MoniLens shall not be responsible for failure or delay caused by circumstances beyond our reasonable control, including:
Internet outages;
Mobile network failures;
Bank failures;
Third-party infrastructure failures;
Cyberattacks;
Power failures;
Government action;
Regulatory changes;
Natural disasters;
Fire;
Flood;
Civil disturbances;
Labour disruptions;
War;
Epidemics or pandemics; or
Other events beyond our reasonable control.
38. REGULATORY CHANGES
MoniLens operates in an environment where laws, regulations, platform rules and technical standards may change.
We may modify, restrict, suspend or discontinue features where reasonably necessary to:
Comply with applicable law;
Comply with regulatory requirements;
Comply with Google Play or other platform requirements;
Protect users;
Protect the Service; or
Manage regulatory risk.
Where a future MoniLens feature involves regulated financial activity, we may require additional disclosures, agreements, verification or permissions before the feature becomes available.
39. NO BANKING OR FIDUCIARY RELATIONSHIP
Your use of MoniLens does not create:
A banking relationship;
A deposit-taking relationship;
A fiduciary relationship;
An investment-adviser relationship;
An accountant-client relationship;
A lawyer-client relationship; or
Another professional advisory relationship
between you and MoniLens unless expressly stated in a separate agreement.
40. THIRD-PARTY LINKS
MoniLens may contain links to third-party websites or services.
We do not control those services and are not responsible for their:
Content;
Availability;
Security;
Privacy practices;
Accuracy; or
Terms.
Your use of third-party services is subject to their applicable terms.
41. FEEDBACK
If you provide feedback, suggestions, ideas or recommendations concerning MoniLens, you grant MoniLens a non-exclusive, worldwide, royalty-free right to use that feedback for legitimate business purposes without compensation to you.
This does not transfer ownership of your personal financial information or Content.
42. CONFIDENTIALITY
Where you receive confidential or non-public information about MoniLens, you agree not to disclose or misuse that information except where authorised or required by law.
This provision does not restrict information that:
Is publicly available through no breach of these Terms;
Was lawfully known to you before disclosure;
Is independently developed; or
Must be disclosed by law.
43. CHANGES TO THESE TERMS
We may update these Terms from time to time.
When we make material changes, we may notify you through the App, email, website or another reasonable method.
The updated Terms will include a new "Last Updated" date.
Your continued use of MoniLens after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
If you do not agree with material changes, you should stop using the Service and may request deletion of your Account.
44. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory rights and protections applicable to you under applicable law.
45. DISPUTE RESOLUTION
If you have a complaint or dispute relating to MoniLens, please first contact:
support@monilens.app
We will make reasonable efforts to resolve the matter informally.
If the dispute cannot be resolved informally, it may be referred to a court or other dispute-resolution mechanism having appropriate jurisdiction under applicable Nigerian law.
Nothing in this section prevents either party from seeking urgent legal relief where necessary to protect its rights or property.
46. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.
The remaining provisions will continue in effect.
47. NO WAIVER
Failure to enforce any provision of these Terms immediately does not constitute a waiver of our right to enforce that provision later.
A waiver must be expressly made.
48. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
MoniLens may assign or transfer its rights and obligations in connection with:
A merger;
Acquisition;
Corporate restructuring;
Financing;
Sale of assets;
Change of control; or
Similar corporate transaction,
subject to applicable law.
49. ENTIRE AGREEMENT
These Terms, the MoniLens Privacy Policy and any additional terms expressly applicable to specific MoniLens services constitute the agreement between you and MoniLens concerning your use of the Service.
If additional terms apply to a particular product or feature, those terms will apply to that feature.

51. ACCEPTANCE
By creating an Account, accessing or using MoniLens, you confirm that:

You agree to be bound by them; and
You will comply with applicable laws when using MoniLens.
If you do not agree to these Terms, you must not use MoniLens.
